Partner Referral & Co-Sell Commission Policy

Our partner referral policy defines the compensation structure, lead qualification criteria, and operational rules for partners referring business to AllCaps.

1. Purpose

This Policy defines the compensation structure, lead qualification criteria, and operational rules for Partners referring business to AllCaps Technologies Inc. ("Company"), and may be amended by the Company from time to time. It is incorporated by reference into the Master Referral Partner Agreement.

2. Definitions

"Net Revenue"

means gross amounts invoiced and collected by Company from a customer, less any refunds, credits, chargebacks, or adjustments actually applied during the relevant period.

"First-Year Revenue"

means the Net Revenue actually collected by Company from a customer during the first twelve (12) months of the initial contract term. It explicitly excludes implementation fees, professional services, taxes, and pass-through costs unless otherwise agreed in writing.

"Lead"

means a contact record consisting of a named individual at a prospective customer organization, submitted by a Partner via registration form. A Lead does not imply opportunity qualification; it is simply a person and organization that the Partner wishes to protect and potentially introduce to Company.

"Qualified Lead"

means a Lead that (a) is net-new to Company per Section 4.4, (b) has been self-certified by Partner as meeting all of the following criteria, and (c) has not been rejected by Company under Section 4.3:

  • The organization has a total annual vendor spend of at least $5,000,000;
  • The named contact is a decision-maker or economic influencer with authority or significant influence over vendor contracts, procurement, or finance;
  • The contact has an active need and is willing to engage within the next 90 days; and
  • The contact is willing to complete Company's free proof-of-concept ("POC") engagement.

3. Partner Tiers & Commission Rates

The Company offers three tiers of engagement. Partner designates their requested tier at the time of Lead registration; Company confirms or adjusts tier classification in writing within the 10-business-day qualification review window.

Tier 1

Introduction-Only Referral

Role

Partner provides a warm introduction to a qualified buyer. Partner facilitates the initial meeting but does not materially participate in discovery, negotiation, or closing activities.

Commission

7.5% of First-Year Revenue

Paid as a one-time fee upon collection

Tier 2

Co-Sell

Role

Partner actively participates in the sales cycle alongside the Company sales team. Partner must join discovery calls, assist with stakeholder alignment, and support deal progression through to signature.

Commission

15% of First-Year Revenue

Paid as a one-time fee upon collection

Tier 3

Strategic (Exceptional Cases)

Role

Partner contribution is deemed critical to winning a competitive or highly complex deal. Requires prior written approval from Company Leadership before the proposal stage.

Commission

Up to 20% of First-Year Revenue

Determined on a case-by-case basis

4. Lead Registration & Ownership

4.1 Registration Process

Partners must register all Leads before making any introduction to Company, using the registration form.

  • Requested Tier

4.2 Provisional Exclusivity Upon Registration

Upon submission, Partner receives provisional exclusivity over the Lead for 10 business days. During this window, Company will not independently engage the prospect, and Company will notify Partner in writing whether the Lead is accepted as a Qualified Lead or rejected.

4.3 Qualification Review & Rejection

Partner self-certifies qualification criteria at the time of registration. Company may reject a Lead within the 10-business-day window if:

  • It does not meet the net-new criteria in Section 4.4;
  • Company has reason to believe the BANT self-certification is materially inaccurate; or
  • The Lead does not meet Company's then-current qualification standards.

4.4 Eligibility (Net-New Rule)

A Lead is not eligible if:

  • It already exists in Company's CRM;
  • Company is currently in active engagement with the prospect; or
  • Company has engaged with the prospect in the prior six (6) months.

4.5 Confirmed Ownership Duration

Upon written acceptance of a Qualified Lead, Partner is recorded as the Lead Source in Company's CRM. Confirmed Lead Ownership remains valid for six (6) months from the date of acceptance. If a deal is not closed within this period, ownership expires.

5. Payment Terms & Conditions

5.1 Payment Trigger

Commissions are earned only when:

  1. A Qualified Lead signs a binding contract; AND
  2. Company receives cash payment from the customer ("Cash Basis").

5.2 Payment Schedule

  • Commissions are processed and paid within 30 days following the end of the month in which Company receives payment.
  • For multi-year contracts with annual upfront payments, Commission is paid only on the first year's payment.
  • For contracts with quarterly or monthly billing, Commissions are paid pro-rata as cash is collected during the first 12 months.

5.3 Exclusions

No Commission is paid on:

  • Renewals: Contract renewals after the initial term.
  • Expansions/Upsells: Additional revenue arising from new contracts, new entities, or expanded scope after initial contract execution.
  • Services: Professional services, consulting hours, or implementation fees.

6. Operational Guidelines

6.1 Deal Visibility

  • System of Record: Company's CRM is the sole source of truth for deal status, value, and timestamps.
  • Reporting: Company will provide periodic updates (monthly) on the status of registered leads.

6.2 Relationship Control

  • Contracting: All customer contracts are directly between Company and the customer. Partner has no authority to sign, modify, or commit to terms.
  • Pricing: Company retains sole discretion over pricing, discounts, and commercial terms.
